Terms of Service

1. Acceptance of Terms

By accessing or using Noventraq ("the Platform"), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of a university or organisation, you represent that you have authority to bind that entity to these terms.

2. Service Description

Noventraq provides a cloud-based university ERP platform that includes student information management, admissions, fee collection, academic management, attendance tracking, examination management, compliance reporting, and other integrated modules as described on our website.

3. User Accounts

• Each institution receives an admin account responsible for managing user access.
• Users must keep their login credentials confidential.
• You are responsible for all activity that occurs under your account.
• Notify us immediately at support@noventraq.com if you suspect unauthorised access.

4. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose.
• Attempt to gain unauthorised access to any part of the Platform.
• Reverse-engineer, decompile, or disassemble any part of the Platform.
• Upload malicious code, viruses, or harmful content.
• Resell or sublicense access to the Platform without written consent.

5. Data Ownership

Your institution retains full ownership of all data entered into the Platform. Noventraq acts as a data processor on your behalf. We do not claim ownership of your data and will not use it for purposes other than providing the service.

6. Service Availability

We strive for 99.9% uptime. Scheduled maintenance windows will be communicated in advance. We are not liable for downtime caused by factors outside our control, including internet connectivity issues, force majeure events, or third-party service failures.

7. Payment Terms

• Pricing is per-student, per-year as agreed in your subscription contract.
• Invoices are issued annually or as per the agreed billing cycle.
• Late payments may result in temporary suspension of access after a 30-day grace period.
• All fees are exclusive of applicable GST.

8. Termination

Either party may terminate the subscription with 90 days written notice. Upon termination, we will provide a full data export within 30 days. Data is permanently deleted 90 days after termination unless otherwise required by law.

9. Limitation of Liability

To the maximum extent permitted by law, Noventraq's total liability for any claim arising from these terms shall not exceed the fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, or consequential damages.

10. Governing Law

These terms are governed by the laws of India. Any disputes shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka.
